1. Binding Agreement & Access
This Software Platform is a proprietary estimation tool. By entering an authorized access code and utilizing this application, you ("User" or "Licensee") agree to be legally bound by these Terms of Service. If you do not agree, you must exit the application immediately.
2. Proprietary Intellectual Property Rights
All software architecture, source code, underlying mathematical calculation models, pricing thresholds, logic arrangements, and integrated brand assetsβincluding but not limited to corporate logos, design layouts, and character mascotsβare the exclusive property of the Platform Developer. Users are strictly prohibited from copying, distributing, reverse-engineering, decompiling, or extracting embedded media or data strings (including Base64 assets) from this application.
3. Independent Contractor & Non-Agency Status
This platform serves distinct geographic licensee markets. The issuance of an access code does not create a joint venture, partnership, employment relationship, or corporate agency between the platform creator and the licensee. Licensees operate as fully independent corporate entities. The parent platform owner assumes no liability, responsibility, or obligation for local contract execution, client installations, consumer disputes, or business operations conducted by independent licensees.
4. Accuracy of Estimation Models & Liability Limits
This application provides real-time mathematical estimates based strictly on parameters input by the field representative. Final square footage, pitch classifications, travel fees, and adders are generated for baseline sales projection purposes only. The platform owners accept no liability for financial or margin discrepancies, data transmission drops via external API webhooks, or processing errors during live consumer interactions. To the maximum extent permitted by law, the platform is provided "as-is" without warranties of any kind.
5. Third-Party Integrations & Platform Dependencies
This software interfaces dynamically with third-party service providers (including Google Maps, Zapier, ClickUp, Jobber, and Xero). The platform owner is not responsible for data transmission latency, integration failures, or downtime caused by these external infrastructure networks, nor for any loss of business resulting from temporary software service interruptions.
6. Data Stewardship & Privacy Compliance
Customer contact information and data points captured within form fields are processed immediately via cloud-based integration pipelines. Licensees bear sole responsibility for ensuring that their field collection, customer notes, and data transmission methods comply with all regional, provincial, and federal privacy and consumer protection statutes.
7. Revocation of Access & Termination
The platform administrator reserves the absolute right to instantly terminate, suspend, or revoke any access code or localized city deployment at any time, without prior notice, for system abuse, intellectual property violations, or breach of licensing agreements.
8. Governing Law
These terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law principles.
